Westcor Get into Corporate Sponsorship Game

Westcor, the developer of Metrocenter, Scottsdale Fashion Square, Paradise Valley Mall, Arrowhead Towne Center, Supersition Springs Center and Desert Sky Mall all located in the Phoenix area, is getting into the corporate sponsorship game. The developer has created a division to pursue corporate sponsorships, including naming rights to two malls to be opened around the year 2000 in Chandler and Broomfield, CO. Besides naming a mall after a corporate sponsor, companies can also buy the right to name a mall entrance. Westcor is still in the marketing phase, but most of their sponsorship packages would be sold for all six of their Phoenix area malls, with the exception of its food court at Paradise Valley Mall. Westcor plans to have primary and secondary sponsorships inside each mall, with primary sponsors having a permanent presence and the secondary sponsors having exposure at select times. Both the primary and secondary sponsors would be included in Westcor's radio, televisions, direct mail and newspaper advertising, in addition to erecting signs in the mall and on the mall's marquee. The payoff for Westcor is anticipated increased sales and traffic at their malls with the extra funds used to promote the malls. Mall of America signed up with several companies as sponsors, including Northwest Airlines with a ticket/information store offering same-day turnaround flights to Minneapolis, PepisCo sponsoring the mall's roller coaster and being the exclusive soft drink in the mall and Chrysler has three mall locations with two sites in the common area and a showcase area with concept cars, interactive kiosks with games and on-line ordering of branded merchandise like Jeep toys.

TRS Partners LC recently broke ground on The Shops at Riverwoods in Provo, UT. The 192,000 sq.ft. project will be the retail component of the Riverwoods Business and Research Park development. Retailers who have signed letters of intent to occupy the center include Banana Republic, Borders Books & Music, Williams-Sonoma, Copeland's Sports, The Gap, Eddie Bauer, Romano's Macaroni Grill, Ann Taylor, Gap Kids, Gymboree, The Polo Store, Baby Gap, Crocodile Cafe and Sunglass Hut. Mergers & Acquisitions

Barney's, Inc. (212-339-7300) and its creditors recently accepted the bid of Dickson Concepts to take control of the chain and help it emerge from bankruptcy. The purchase price was $247 million. Barney's accepted the offer because it provides shareholders and creditors with a substantial amount of cash and allows them to retain a 49% stake in the company.

Pacific Sunwear of California, Inc. (714-701-4000) recently signed a definitive agreement to purchase the store assets and leases of 15 Good Vibrations stores in FL for $9.2 million. Pacific Sunwear initially plans to operate the stores under their present name. The transaction is expected to be completed next month.

Manhattan Bagel Company, Inc. (908-544-0155) recently signed a letter of intent with Doctors' Associates Inc. (DAI), franchisor of the Subway chain, providing for a proposed investment in the company by DAI and the potential for Manhattan Bagel to sell bagels and cheese spreads to participating franchisees in the 12,800-unit Subway chain if the franchisor implements a bagel program. Under terms of the letter, DAI would purchase from Manhattan Bagel a five-year, $14.7 million convertible note carrying a 6.25% interest rate. The note would be convertible into shares of Manhattan Bagel common stock at the option of DAI or Manhattan Bagel, depending upon the circumstances.

McCrory Corp. (717-757-8181), through the approval of the U.S. Bankruptcy Court, recently agreed to sell 159 stores to HGG Acquisition Corp. for $51 million. Of that amount, $35 million will pay off a loan and $16 million will pay administrative claims incurred since the 1992 bankruptcy filing. Unsecured creditors, including vendors, will receive nothing.

Hechinger Co. (301-341-0926) recently agreed to sell up to seven of its Home Quarters Warehouse stores in MI to Costco Cos., Inc. The seven stores include those located in Grand Rapids, Ann Arbor, Madison Heights, Bloomfield, Roseville and two in Livonia. The deal could be worth up to $60 million is all seven stores are sold.

Wendy's International, Inc. (614-764-3099) reported that its second quarter net income increased 16% to $57 million, compared to $49.3 million during the second quarter last year. Revenues were $540.2 million, up from $491.9 million last year and systemwide sales increased 14.8% to $1.6 billion. Average sales per restaurant increased 10.3%. During the quarter, the company opened 86 units with another 102 under construction and ended the quarter with 5,051 restaurants in the U.S. and 33 countries.

Uni-Marts, Inc. (814-234-6000) reported that its third quarter net earnings fell 83.2% to $185,892 from $1.1 million during the third quarter last year. Third quarter revenues increased 3.5% to $92 million from $88.8 million. Merchandise sales at comparable stores were up 3.3% and gasoline sales at comparable stores were up 1.7% for the quarter. The company currently operates 388 convenience stores in DE, MD, NJ, NY, PA and VA.

Levitz Furniture, Inc. (407-994-5151) recently received an additional $9 million advance on its senior secured facilities from its lenders. This additional facility will be repaid from proceeds of the sale of one of its properties, which is currently under contract of sale.

Outback Steakhouse, Inc. (813-282-1225) reported that its second quarter net income increased to $19.274 million from $18.236 million. Revenues increased 22% to $287.7 million from $236.4 million, with systemwide sales up 28% for the quarter to $339.7 million. Comparable restaurant sales fell 1.6% at its Outback Steakhouse chain, but were up eight percent at its Carrabba's Italian Grill chain. The company operates 400 Outback Steakhouses and 58 Carrabba's Italian Grill units in 39 states.

The Dress Barn, Inc. (914-369-4600) reported that sales for its fiscal year increased 7.6% to $554.9 million from $515.5 million last year. Comparable store sales for the year increased 5.4%. The company operates 690 women's apparel stores in 43 states.

Delchamps, Inc. (334-433-0437) reported that its net earnings for the fiscal year increased to $7.95 million from $3.85 million last year. Fiscal year sales fell 2.1% to $1.102 billion from $1.126 billion last year and comparable store sales for the year fell 3.5%.
